Introduction

These Terms of Sale govern your purchase of any products offered for sale through the Online Channels (collectively, "Products"), including but not limited to fine jewelry and luxury accessories, operated or authorized by FOXY DIAMONDS B.V., together with its affiliates and subsidiaries (collectively, "Foxy Diamonds", "we", "us", or "our").

For purposes of these Terms of Sale, "Online Channels" shall include, without limitation, Foxy Diamonds' websites, mobile applications, social media pages, and any other online platforms operated or authorized by Foxy Diamonds.

These Terms of Sale apply exclusively to your purchase of Product(s) through the Online Channels and govern the formation, performance, and enforcement of any contract between you and Foxy Diamonds arising from such purchases. They do not govern your access to or use of the Online Channels for informational purposes, which shall be subject to the Terms of Use.

By placing an order ("Order") through the Online Channels, which shall mean the act of selecting one or more Product(s), adding such Product(s) to your shopping bag or equivalent feature on the Online Channels, providing all required personal, billing, and delivery information, reviewing and confirming the details of your order, and submitting your Order by clicking the designated button to complete the purchase, you acknowledge and agree that you are entering into a binding contractual offer to purchase the Product(s) subject to these Terms of Sale and that all representations made by you in connection with the Order are accurate and complete.

By placing an Order, you further acknowledge and agree that:

You are bound by these Terms of Sale and any additional terms, conditions, or notices applicable to specific Product(s), promotions, or sales features;
The formation of a contract between you and Foxy Diamonds is conditional upon Foxy Diamonds' acceptance of your Order;
Your obligation to pay for the Product(s), including any associated delivery charges, taxes, and other applicable fees, arises only upon such acceptance by Foxy Diamonds; and
The submission of an Order does not constitute acceptance by Foxy Diamonds, which reserves the right, at its sole discretion, to decline or cancel any Order prior to acceptance for any reason, including but not limited to inventory shortages, pricing errors, or suspected fraudulent activity.

These Terms of Sale shall be read in conjunction with Foxy Diamonds' Terms of Use, Shipping Policy, Return Policy, Warranty Policy, Privacy Policy, Cookies Policy, and any other policies or guidelines applicable to the Online Channels.

Foxy Diamonds reserves the right, at its sole discretion, to update, modify, or amend these Terms of Sale at any time. Any such changes shall apply only to Orders placed after the effective date of the revised Terms of Sale. Orders accepted prior to such changes shall remain governed by the Terms of Sale in effect at the time of acceptance.

If you do not accept these Terms of Sale in full, you must refrain from placing any Order through the Online Channels.

You may have additional rights granted by mandatory law. Nothing in these Terms of Sale affects such rights. In the event of any inconsistency between these Terms of Sale and applicable mandatory law, the mandatory law shall prevail.

Eligibility to Place Orders

Orders may only be placed through the Online Channels by individuals or entities located in countries currently listed as eligible for delivery in Foxy Diamonds' Shipping Policy. If you are not located in an eligible country, you may not place an Order via the Online Channels, and any attempt to do so may be declined by Foxy Diamonds.

Foxy Diamonds reserves the right, at its sole discretion, to refuse or cancel any Order if it determines that you do not meet the eligibility criteria or if the Order is otherwise inconsistent with these Terms of Sale or any applicable policies, including the Shipping Policy.

By placing an Order, you represent and warrant that you have the legal capacity and authority to enter into a binding contract under applicable law, including any age or legal competence requirements imposed by Belgian law, EU law, or the law of the jurisdiction in which you are located.

Formation of Contract

By placing an Order through the Online Channels, you make a binding offer to purchase the Product(s) specified in your Order, subject to these Terms of Sale, Terms of Use, Shipping Policy, Return Policy, Warranty Policy, Privacy Policy, Promotion Policy, and any other applicable policies or guidelines.

Account Creation and Use

If you are a first-time customer, you may create an account during the checkout process by providing your email address and creating a password. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities conducted through your account. The billing address associated with your account must correspond to the billing address of your chosen payment method, although you may designate a different delivery address.

Returning Customers

If you are a returning customer, you may log in to your account to place an Order. By doing so, you confirm that all account information, including billing and delivery details, is complete, accurate, and up to date. Foxy Diamonds is entitled to rely on such information for the purpose of processing your Order.

Accuracy of Order Information

You are responsible for ensuring that all information provided when placing an Order is complete, accurate, and current. Any errors must be corrected prior to submission of the Order. If you experience difficulties during the ordering process, you should contact Foxy Diamonds' customer service team via email provided in the section "Contact Us".

Order Acknowledgement

Following submission of your Order, Foxy Diamonds will send an automated email acknowledging receipt of the Order. This acknowledgement confirms receipt only and does not constitute acceptance of your offer or the formation of a contract.

Acceptance and Formation of Contract

Your Order is accepted, and a legally binding contract between you and Foxy Diamonds ("Contract") is formed, only when Foxy Diamonds issues a dispatch confirmation email ("Dispatch Email"). The Dispatch Email will confirm the Product(s) being dispatched, the delivery address, and the estimated delivery timeframe. Upon dispatch, Foxy Diamonds assumes a legal obligation to deliver the Product(s) in conformity with the Contract.

Scope of the Contract

The Contract relates exclusively to the Product(s) confirmed in the Dispatch Email. Any Product(s) included in your Order but not confirmed as dispatched shall not form part of the Contract and will be subject to a separate contract upon dispatch confirmation.

You are responsible for reviewing the Order acknowledgement and Dispatch Email and promptly notifying Foxy Diamonds of any discrepancies or issues. Foxy Diamonds may contact you to resolve any matters relating to your Order.

The formation, performance, and enforcement of the Contract are governed by these Terms of Sale and the related policies referenced herein.

Pricing, Taxes, and Payment

The prices of Product(s) and any applicable delivery charges are displayed at checkout on the Online Channels and are inclusive of all applicable taxes and duties.

European Union ("EU") Purchases: For purchases within Belgium, prices include Belgian VAT (BTW/TVA). For purchases to other EU Member States, prices include the applicable VAT in accordance with the EU VAT Directive. No customs duties apply within the EU.
United Kingdom ("UK") Purchases: For shipments to the UK, all applicable taxes, customs duties, import/export taxes, and other governmental or regulatory charges are included in the total amount payable by you. Delivery shall be made on a Delivered Duty Paid (DDP) basis.

Delivery charges, if applicable, will be clearly displayed at checkout prior to submission of your Order. You are responsible for reviewing the total amount payable, which includes the Product(s) price (inclusive of all applicable taxes and duties) and any delivery charges.

Invoices

All invoices shall be issued in electronic format and sent to the email address provided by you at the time of Order. No physical invoices will be included in the shipment. You are responsible for ensuring that the email address provided is accurate and accessible. Electronic invoices constitute valid proof of purchase for all legal, tax, and warranty purposes. If you do not receive your invoice or have any questions regarding its contents, you must promptly contact Foxy Diamonds using the email address provided in the section "Contact Us".

Payment

Payment for Product(s) is due in full at the time of Order submission. Accepted payment methods are presented at checkout on the Online Channels. Foxy Diamonds reserves the right, at its sole discretion, to reject or cancel any Order if payment cannot be successfully processed or authorized. Product(s) will not be dispatched until full payment has been received.

Please note that your card issuer, payment provider, or any financial institution involved in processing your payment may impose additional handling or processing fees for online transactions, for which Foxy Diamonds shall not be responsible. You may be subject to authorization, authentication, or verification procedures by your payment provider or Foxy Diamonds' payment service provider. If your payment is refused, declined, or fails for any reason, Foxy Diamonds shall not be liable for any delay, non-processing, or non-delivery of the Product(s) ordered.

By providing payment information to Foxy Diamonds, you expressly authorize us to transmit to, or obtain from, third parties information about you, including, without limitation, your name, address, telephone number, debit or credit card or other payment details (to the extent necessary only), or credit reports, for the purposes of verifying your identity, validating your payment method, obtaining authorizations, and confirming the delivery address for the Product(s), to the extent permitted by law.

Delivery, Title and Risk

Foxy Diamonds shall use commercially reasonable efforts to deliver Product(s) to the delivery address specified in your Order within the processing and delivery timeframes set forth in the Shipping Policy, which is incorporated herein by reference and forms an integral part of these Terms of Sale. Delivery dates are indicative only and shall not form part of the Contract.

Foxy Diamonds shall not be liable for any delays, losses, or additional charges arising from circumstances beyond its reasonable control, including, without limitation, acts of God, natural disasters, strikes, labor disputes, pandemics, governmental or regulatory actions, customs inspections, import/export restrictions, carrier delays, routing errors, or other events or circumstances affecting the shipment, delivery, or transport of Product(s).

Delivery shall be deemed complete when the Product(s) are physically delivered to the delivery address specified in your Order, or when the carrier or courier engaged by Foxy Diamonds marks the shipment as delivered or attempted delivery, whichever occurs first. Title to and risk in the Product(s) shall pass to you upon delivery as defined herein. All shipments require an adult signature upon delivery, unless otherwise agreed in writing by Foxy Diamonds. You are responsible for ensuring that someone is available to accept delivery at the specified address. Foxy Diamonds shall not be liable for any loss, theft, or damage to the Product(s) once delivery is deemed complete in accordance with this clause.

Delivery obligations of Foxy Diamonds shall be deemed satisfied once the Product(s) has(have) been handed over to the carrier designated by Foxy Diamonds for transport to the delivery address. You are responsible for monitoring and tracking the shipment and for ensuring timely receipt of the Product(s). You are strongly encouraged to promptly review any tracking information provided and notify Foxy Diamonds without delay of any discrepancies, non-delivery, or delivery issues. Prompt notification helps you preserve your statutory rights under Belgian and EU law in case of non-conforming, lost, or damaged goods.

You are responsible for carefully inspecting the Product(s) immediately upon receipt. You must notify Foxy Diamonds of any non-delivery, loss, damage, or defect within seventy-two (72) hours of receiving the Product(s). Failure to provide timely notification may affect your ability to rely on certain remedies, to the extent permitted by applicable law.

Certificate of Authenticity

A certificate of authenticity, such as an IGI or GIA certificate, will be provided with the Product(s) and must be kept safe for the entire duration of the warranty period, as it may be required for any warranty, repair, or return claims. In the event that the certificate is lost, damaged, or otherwise unavailable, a replacement fee of one hundred (100) EUR shall apply.

Damaged or Defective Product(s)

If you discover that Product(s) are damaged, defective, or do not conform to your Order, you must contact Foxy Diamonds via the email address provided in the section "Contact Us" and follow the instructions provided. Product(s) must be handled with reasonable care and, where return is required, returned in their original packaging and condition, in accordance with the instructions communicated by Foxy Diamonds and the Warranty Policy.

Where Product(s) are confirmed to be defective or non-conforming through no fault of your own, Foxy Diamonds shall, in accordance with applicable law and the Warranty Policy, repair, replace, or refund the affected Product(s). In such cases, return shipping and redelivery costs shall be borne by Foxy Diamonds, and any refund shall include the purchase price paid for the affected Product(s) and the original delivery charges. Taxes, duties, and other governmental or regulatory charges shall be refunded only to the extent required by applicable law.

Product depictions on the Online Channels are provided for illustrative purposes only. Minor variations in size, color, pattern, texture, or appearance resulting from screen settings, photography, or manufacturing characteristics shall not constitute a defect, lack of conformity, or breach of the Contract.

Subject to the Warranty Policy and any warranties or guarantees implied by applicable law, including the legal guarantee of conformity under Belgian or EU legislation, Foxy Diamonds does not provide any warranties or guarantees beyond those expressly stated.

For full details regarding warranty coverage, procedures, limitations, and applicable remedies, please refer to the Warranty Policy, which forms an integral part of these Terms of Sale. In the event of any inconsistency or contradiction, in relation to warranty matters, between these Terms of Sale or any other policies or terms made available through the Online Channels and the Warranty Policy, the terms of the Warranty Policy shall prevail, without prejudice to any mandatory rights under applicable Belgian or EU consumer protection law.

Right to Cancel and Returns

If you are a consumer acting outside your trade, business, or profession, you have a statutory right to cancel the Contract in accordance with applicable Belgian and EU consumer protection law.

For the purposes of these Terms of Sale, the "Cooling-Off Period" means the period during which you may exercise your statutory right to cancel the Contract without giving any reason. The Cooling-Off Period commences on the date on which you, or a third party designated by you (other than the carrier), takes physical possession of the Product(s) and lasts thirty (30) calendar days from that date.

To exercise your right to cancel, you must notify Foxy Diamonds within the Cooling-Off Period using the contact details provided in the section "Contact Us". Returned Product(s) must be handled and returned in accordance with the procedures, conditions, and timelines set out in the Return Policy and any instructions provided by Foxy Diamonds' customer service team.

The statutory right to cancel does not apply to Product(s) excluded from return under applicable law, including personalized or customized Product(s) and other non-returnable items as specified in the Return Policy. These exclusions do not affect your mandatory statutory rights, including rights relating to defective or non-conforming Product(s), which are governed by the Warranty Policy.

Refunds, where applicable, shall be issued to the original payment method in accordance with the Return Policy and applicable law. Delivery charges shall not be refunded. Unless otherwise required by applicable mandatory law, taxes, duties, and any other governmental or regulatory charges shall not be refundable.

All cancellations, returns, and refunds are governed by these Terms of Sale, Shipping Policy, Return Policy, Promotion Policy, and applicable Belgian and EU consumer protection legislation. In the event of any inconsistency or contradiction in relation to cancellation or Cooling-Off matters between these Terms of Sale or any other policies or terms available through the Online Channels and the Return Policy, the terms of the Return Policy shall prevail, without prejudice to any mandatory rights under applicable Belgian or EU consumer protection law.

After-Sales Services

Complimentary Cleaning Service

Foxy Diamonds offers one (1) complimentary professional cleaning service per Product per calendar year, commencing on the date of delivery and available throughout the warranty period.

The complimentary cleaning service is subject to the following conditions:

The customer is responsible for all shipping costs, including shipment to and from Foxy Diamonds, as well as any applicable insurance charges.
The Product must be shipped in accordance with Foxy Diamonds' instructions and packaging requirements, which will be provided upon request.
Foxy Diamonds shall not be responsible for loss or damage occurring during transit where shipment is arranged by the customer.
Complimentary cleaning does not include repairs, stone replacement, polishing beyond standard cleaning, or any other services unless expressly agreed in writing and subject to additional charges.

Ring Resizing Service

Foxy Diamonds may, at its discretion, provide ring resizing services as after-sales courtesy. Ring resizing is subject to technical feasibility and design constraints and may not be available for all Products. The terms and conditions governing resizing services are set out below.

1. Complimentary Resizing

Foxy Diamonds offers one (1) complimentary ring resize per eligible ring within one (1) year from the date of delivery, subject to technical feasibility. The complimentary resize is subject to the following conditions:

The resize is limited to a maximum adjustment of up to two (2) standard ring sizes up or down from the original size at the time of purchase.
You are responsible for all shipping costs, including shipment to and from Foxy Diamonds, as well as mandatory insurance coverage for the full replacement value of the Product.
Any applicable customs duties, taxes, import or export charges, or similar governmental fees arising from international shipment shall be borne exclusively by the customer.
Foxy Diamonds shall not be responsible for delays, losses, damage, or additional costs resulting from customs procedures or incorrect declarations made by the customer or carrier.

2. Additional Resizing

Any resizing beyond the complimentary resize, including but not limited to:

Additional resizing requests;
Resizing outside the one (1) year complimentary period; or
Resizing exceeding the permitted size range,

shall be subject to availability, technical feasibility, and additional fees, which will be communicated to you in advance and must be accepted prior to commencement of the service.

3. Non-Resizable Designs and Resizing Limitations

Due to design, structural, or material constraints, certain Products cannot be resized. Non-resizable designs include, without limitation:

Full eternity rings;
Tension settings;
Continuous-pattern or ornate bands;
Pavé bands where stones extend significantly around the shank;
Rings made from alternative metals;
Any Product explicitly marked as "non-resizable" on the applicable Product page.

Foxy Diamonds makes no representation or warranty that a Product not eligible for resizing can be modified under any circumstances.

4. Resizing Procedure and Risk Allocation

For eligible resizing requests:

You must initiate the request by contacting Foxy Diamonds' customer service team via email provided in the section "Contact Us".
Foxy Diamonds will provide detailed instructions regarding shipping, insurance requirements, and next steps.
All shipping arrangements, costs, insurance, and associated risks related to the transport of the Product to and from Foxy Diamonds shall be borne solely by the customer.
Foxy Diamonds shall not be liable for any loss, theft, damage, delay, or diminution in value occurring during transit where shipment is arranged by the customer, and all such risks shall be borne exclusively by the customer.

Other Information

Entire Agreement

These Terms of Sale, together with any documents expressly referred to herein, constitute the entire agreement between you and Foxy Diamonds in relation to the subject matter of any Contract. No other representations, warranties, or statements, whether written or oral, shall form part of the Contract unless expressly incorporated herein. The Contract and all communications between you and Foxy Diamonds shall be conducted in the English language.

Governing Law

The formation, existence, construction, performance, validity, and all aspects whatsoever of these Terms of Sale, or of any term contained herein, shall be governed by and construed in accordance with Belgian law. For the avoidance of doubt, nothing in these Terms of Sale shall limit, restrict, or exclude any rights conferred upon you under mandatory Belgian or EU consumer protection law, or under the law applicable in your jurisdiction if different.

Jurisdiction

The courts of Belgium shall have non-exclusive jurisdiction to settle any disputes arising out of or in connection with these Terms of Sale, the Contract, or the use of the Online Channels. Where mandatory law in your jurisdiction provides additional rights to bring proceedings, such rights shall not be excluded.

Severability

If any provision of these Terms of Sale is held to be invalid, illegal, or unenforceable by any court of competent jurisdiction, such provision shall be deemed severed from these Terms of Sale, and the remaining provisions shall continue in full force and effect.

Waiver

No delay or failure by Foxy Diamonds to exercise any right, power, or remedy under these Terms of Sale shall operate as a waiver thereof. The partial or single exercise of any right, power, or remedy shall not preclude any further or other exercise of that right, power, or remedy.

Third-Party Rights

These Terms of Sale and any Contract concluded pursuant hereto are binding only upon the parties hereto and do not confer any rights or benefits upon any third party, except where expressly provided otherwise herein or required by applicable Belgian or EU legislation.

Notices

All notices, communications, or correspondences from you to Foxy Diamonds shall be made in writing and delivered to the contact details specified in the section "Contact Us".

Foxy Diamonds may provide notices, communications, or correspondences to you at the postal or email address supplied at the time of placing your Order. Such notices may also be transmitted electronically via the Online Channels and shall be deemed duly given and effective in accordance with applicable Belgian or EU legislation and these Terms of Sale.

Retention of Terms and Order Records

Foxy Diamonds shall retain copies of these Terms of Sale, together with any Order confirmations or related contractual documentation, solely for the duration and purposes specified in its Privacy Policy and in accordance with applicable Belgian and EU data protection law. You are strongly advised to retain a copy of these Terms of Sale and your Order confirmation for your own records, as Foxy Diamonds has no obligation to make historical versions of these documents available beyond statutory or regulatory retention periods. Mandatory Rights

Nothing in this section or elsewhere in these Terms of Sale shall limit, restrict, or exclude any rights conferred upon you under mandatory Belgian or EU legislation, including, without limitation, rights related to consumer protection, statutory guarantees, and cancellation rights.
