These Terms of Use govern your access to, and use of the Online Channels operated or authorized FOXY DIAMONDS B.V., together with its affiliates and subsidiaries (collectively, "Foxy Diamonds", "we", "us", or "our").
For purposes of these Terms of Use, "Online Channels" shall include, without limitation, Foxy Diamonds' websites, mobile applications, social media pages, and any other online platforms operated or authorized by Foxy Diamonds.
These Terms of Use apply exclusively to your access to and use of the Online Channels. They do not govern the purchase, use, or provision of any products, services, or software made available through the Online Channels, which shall be subject to separate terms and conditions accompanying the relevant offering.
By accessing or using the Online Channels, you acknowledge and agree that you are bound by these Terms of Use and any additional terms, conditions, or notices that may apply to particular sections, services, or features. Your use of the Online Channels, including any information, tools, or services provided therein, is conditional upon your acceptance of these Terms of Use.
These Terms of Use shall be read in conjunction with Foxy Diamonds' Terms of Sale, Shipping Policy, Return Policy, Warranty Policy, Privacy Policy, Cookies Policy, and any other policies or guidelines applicable to the Online Channels.
Foxy Diamonds reserves the right, at its sole discretion, to update, modify, or amend these Terms of Use at any time. Your continued access to or use of the Online Channels constitutes your acceptance of such modifications.
If you do not accept these Terms of Use in full, you must refrain from accessing or using the Online Channels.
Accuracy, Completeness, and Timeliness of Information on the Online Channels
Foxy Diamonds endeavors to ensure that all information, materials, and content made available through its Online Channels are accurate, complete, and current. Notwithstanding such efforts, Foxy Diamonds makes no representation or warranty, express or implied, regarding the accuracy, completeness, reliability, or timeliness of any information or content provided on or through the Online Channels.
All information, materials, and content made available through the Online Channels are provided solely for general informational purposes and shall not be relied upon as the sole basis for any commercial, financial, or personal decisions. You acknowledge that any reliance on such information, materials, or content is undertaken at your sole risk.
The Online Channels may contain historical, archival, or illustrative information or materials provided solely for reference, which may not reflect current circumstances. Foxy Diamonds reserves the right, at its sole discretion, to modify, update, or remove any information, materials, or content from the Online Channels at any time without prior notice, and shall have no obligation to provide updated or corrected information. You are responsible for monitoring any changes to the Online Channels, and your continued use constitutes acceptance of such changes.
Products offered through the Online Channels, including jewelry, loose and mounted precious stones, and luxury accessories (collectively, "Products"), are provided solely for illustrative purposes and general guidance. Images, descriptions, specifications, and other illustrative materials may not accurately reflect the actual size, color, or appearance of the Products due to photographic, display, or technical limitations. Enlarged or reduced representations may be used to highlight details or to provide a complete view of the Products.
Foxy Diamonds shall not be liable for any inaccuracies, errors, omissions, or delays in the information, materials, or content provided through the Online Channels. You acknowledge and agree that any decisions or actions taken based on such information, materials, or content are undertaken at your sole risk.
Third-Party Content and Links
Certain content, features, and functionality made available through the Online Channels may be provided, owned, or operated by third parties (collectively, "Third Party Providers"). Your access to and use of such content, features, or functionality (collectively, "Third Party Content") may be subject to separate terms and conditions imposed by the relevant Third Party Provider. In such cases, these Terms of Use shall not govern your use of the Third Party Content, and you agree to comply with any terms of use provided by the applicable Third Party Provider.
You acknowledge and agree that Foxy Diamonds shall not be responsible or liable, whether directly or indirectly, for any Third Party Content or for any acts, omissions, errors, or representations of Third Party Providers. Any claims, disputes, or causes of action arising from your access to or use of Third Party Content must be directed solely against the relevant Third Party Provider and not against Foxy Diamonds.
The Online Channels may also contain links to other websites, including websites operated by Foxy Diamonds, its affiliates, or third parties (collectively, "Linked Sites"). Such links are provided for convenience only and do not constitute an endorsement, sponsorship, or recommendation by Foxy Diamonds of the content, products, services, or practices of any Linked Site. You acknowledge that Foxy Diamonds does not review, control, or guarantee the accuracy, completeness, or compliance with applicable legislation of any Linked Site or its content. Use of Linked Sites is undertaken solely at your own risk, and Foxy Diamonds shall not be responsible or liable for any losses, damages, or other liabilities incurred in connection with your access to or use of any Linked Site. Different terms and conditions may apply to your use of any Linked Site, and you are solely responsible for reviewing and complying with such terms.
You may not link to the Online Channels from any other website without the prior written consent of Foxy Diamonds, which may be granted or withheld at its sole discretion, and any such approval may be revoked at any time at Foxy Diamonds' sole discretion. Any approved links must comply with the following requirements:
- Links must direct only to the homepage of the Online Channels;
- No framing, mirroring, or enclosing of any content from the Online Channels within another website or digital platform is permitted;
- The site containing the link must comply with all applicable legislation and regulations and must not contain content that could reasonably be considered offensive, illegal, or otherwise inappropriate; and
- You may not imply, expressly or by omission, that Foxy Diamonds endorses or is affiliated with any other website, product, or service.
You are strictly prohibited from harvesting, scraping, or collecting pricing or other content from the Online Channels using automated or manual means, including but not limited to web spiders, robots, crawlers, or other automated data collection tools, without Foxy Diamonds' prior written consent.
Use of Materials on the Online Channels
All content made available through the Online Channels - including, without limitation, text, designs, graphics, logos, icons, images, audio clips, video content, downloads, interfaces, code, software, and the selection, coordination, and arrangement thereof (collectively, "Content") - is and shall remain the exclusive property of Foxy Diamonds, its licensors, or its content providers, and is protected under applicable copyright, trademark, and other intellectual property laws. Subject to these Terms of Use, you may access, copy, download, and print the Content solely for your personal, non-commercial use, provided that you do not modify, remove, or obscure any copyright, trademark, or other proprietary notice contained in or accompanying such Content.
Any other use of the Content - including, without limitation, modification, distribution, transmission, performance, display, publication, uploading, licensing, reverse engineering, creation of derivative works, or sale or transfer of any material, information, software, products, or services obtained from the Online Channels - is strictly prohibited without the prior written authorization of Foxy Diamonds. Use of the Online Channels or their Content for purposes that compete with, or are otherwise detrimental to, Foxy Diamonds is expressly prohibited. Foxy Diamonds, its licensors, and its content providers retain full and complete ownership of all rights, title, and interest in and to the Content, and any rights not expressly granted herein are reserved. Access to or use of the Online Channels does not confer, whether express, implied, or by estoppel, any license or right to use any trademark, service mark, logo, or other intellectual property of Foxy Diamonds or any third party without prior written consent.
You are strictly prohibited from using any hardware, software, or other devices to interfere with or disrupt the proper operation of the Online Channels, or to attempt to access, monitor, or collect any system data or personal information without authorization. You are solely responsible for ensuring compliance with all applicable legislation and regulations governing access to and use of the Online Channels, including, without limitation, export control, economic sanctions, and trade restrictions imposed under Belgian, European Union, or other applicable legislation that may govern the purchase, transfer, or supply of certain goods or services.
All trademarks, service marks, logos, and trade names displayed on the Online Channels are the property of Foxy Diamonds, its affiliates, licensors, content providers, or third parties. Nothing on the Online Channels shall be construed as granting, by implication, estoppel, or otherwise, any license or right to use any trademark, logo, service mark, or other intellectual property without the prior written permission of the owner. All rights not expressly granted herein are reserved.
Foxy Diamonds reserves the right, in its sole discretion, to restrict, suspend, or terminate your access to the Online Channels without notice where it determines that you have breached these Terms of Use, engaged in unauthorized, unlawful, or abusive activity, or otherwise acted in a manner detrimental to Foxy Diamonds' interests. Termination of access shall be without prejudice to any other rights or remedies available to Foxy Diamonds under legislation or equity.
User Generated Content
User Generated Content ("UGC") refers to any content submitted, uploaded, published, transmitted, tagged, shared, or otherwise made available by users through or in connection with the Online Channels, whether directly or indirectly. UGC includes, without limitation, photographs, images, videos, audio recordings, reviews, ratings, testimonials, comments, feedback, messages, social media posts, hashtags, usernames, profile information, or other materials, whether submitted via the website, mobile applications, social media pages, third-party review platforms, or other digital services integrated with or linked to the Online Channels.
UGC may be submitted, for example, by uploading content to the Online Channels, posting reviews or testimonials, tagging Foxy Diamonds on social media, responding to requests for feedback, or submitting content through third-party platforms that host or syndicate customer reviews or user content.
By submitting UGC, you represent and warrant that:
- You own or otherwise control all rights, title, and interest in the UGC, or have obtained all necessary permissions, licenses, consents, and authorizations (including from any identifiable individuals appearing in the content) to submit such UGC and to grant the rights described below;
- The UGC does not infringe, misappropriate, or otherwise violate any intellectual property rights, privacy rights, publicity rights, moral rights, or other rights of any third party;
- The UGC is accurate, truthful, and not misleading, defamatory, obscene, unlawful, or otherwise objectionable; and
- The UGC complies with applicable legislation and these Terms of Use.
By submitting UGC, you grant Foxy Diamonds a non-exclusive, royalty-free, fully paid-up, perpetual, irrevocable, worldwide, transferable, and sublicensable license to use, reproduce, copy, host, store, adapt, edit, modify, translate, create derivative works from, publish, distribute, transmit, publicly perform, publicly display, and otherwise exploit such UGC, in whole or in part, for legitimate business purposes. These purposes include, without limitation, marketing, advertising, promotional, commercial, editorial, analytics, product development, and customer experience purposes, in any format or media now known or later developed.
This license includes the right for Foxy Diamonds to use UGC in connection with its products, services, branding, and communications, including on its websites, social media channels, marketing materials, newsletters, digital advertising, and other communications, without further notice to you.
You acknowledge and agree that:
- No compensation, approval, or attribution is required in connection with Foxy Diamonds' use of UGC, unless otherwise required by mandatory law; and
- Foxy Diamonds is under no obligation to use, display, or continue to display any UGC.
Foxy Diamonds reserves the right, but not the obligation, to review, moderate, monitor, edit, remove, restrict, or refuse to display any UGC at its sole discretion, including where it determines that such UGC violates these Terms of Use, applicable law, third-party platform rules, or Foxy Diamonds' brand standards. Foxy Diamonds assumes no responsibility or liability for any UGC submitted by users or made available through third-party platforms.
Responsibilities and Conduct on the Online Channels
You agree to access and use the Online Channels solely for lawful purposes and in accordance with these Terms of Use. Without limiting the generality of the foregoing, you, and any third party acting on your behalf, are strictly prohibited from:
- Framing, mirroring, or otherwise incorporating any part of the Online Channels into another website, platform, or digital service without the prior written consent of Foxy Diamonds;
- Using any Foxy Diamonds trademarks, trade names, logos, or other proprietary identifiers, including, without limitation, as meta tags or hidden text, without the express written authorization of Foxy Diamonds;
- Modifying, adapting, translating, reverse-engineering, decompiling, disassembling, or otherwise attempting to derive the source code, underlying structure, ideas, or algorithms of any portion of the Online Channels, or circumventing any technological protections;
- Employing any automated system, software, or device—including, without limitation, bots, crawlers, spiders, or data-mining tools—to access, monitor, copy, or interfere with the proper operation or functionality of the Online Channels;
- Transmitting, uploading, or distributing any material containing viruses, malware, or other harmful components designed to disrupt, impair, or compromise the Online Channels, associated systems, or infrastructure; or
- Using the Online Channels in any manner that could damage, disable, overburden, or impair Foxy Diamonds' infrastructure, services, reputation, or business interests.
Foxy Diamonds reserves the right, in its sole discretion, to investigate any actual or suspected breach of these Terms of Use and to take any actions it reasonably deems necessary, including restricting, suspending, or terminating your access to the Online Channels, and pursuing any remedies available under applicable law or equity.
Access to the Online Channels
Access to the Online Channels is provided by Foxy Diamonds for your personal, lawful, and non-commercial use only. Foxy Diamonds reserves the right, at its sole discretion, to suspend, restrict, or terminate access to all or any part of the Online Channels at any time, including where it reasonably believes that you have violated these Terms of Use, applicable law, or engaged in unauthorised, unlawful, or abusive activity.
Certain features or functionalities of the Online Channels may require registration or the creation of an account. Where registration is required, you must provide true, accurate, current, and complete information and promptly update such information to ensure its continued accuracy.
If you choose, or are provided with, a username, password, or any other access credential, you are solely responsible for maintaining its confidentiality and security, and for all activities, communications, and transactions conducted under your account, whether authorized by you or not. You must promptly notify Foxy Diamonds of any actual or suspected loss, theft, unauthorized use, or other security breach relating to your credentials or account. Until such notice is received, Foxy Diamonds shall be entitled to assume that all activities under your account have been authorized by you.
Foxy Diamonds reserves the right to disable, suspend, or revoke any account, password, or access right if it reasonably determines that a breach of these Terms of Use or a security compromise has occurred. Termination or restriction of access shall be without prejudice to any other rights or remedies available to Foxy Diamonds under applicable law or equity.
Access to and use of the Online Channels does not confer any ownership, license, or proprietary rights in or to their content, functionality, or software. The use, reproduction, or redistribution of materials made available through the Online Channels is governed by the section "Use of Materials on the Online Channels".
You are solely responsible for ensuring that your access to and use of the Online Channels complies with all applicable legislation, regulations, and local restrictions. Foxy Diamonds reserves the right to implement any technical, administrative, or legal measures it deems necessary to safeguard the integrity, security, and lawful operation of its systems.
Our Liability to You
These Terms of Use do not exclude or limit Foxy Diamonds' liability to the extent prohibited by applicable law, including, without limitation, liability for:
- death or personal injury resulting from our negligence;
- fraud or fraudulent misrepresentation; and
- any other matter for which it would be unlawful to exclude or limit liability.
Foxy Diamonds does not warrant or guarantee that the Online Channels will be compatible with all hardware or software used by you, or that access to or use of the Online Channels will be uninterrupted, secure, or free from errors, viruses, or other harmful components. You are responsible for taking all appropriate precautions, including the use of up-to-date antivirus and security software, before downloading or otherwise accessing content from the Online Channels. Foxy Diamonds shall not be liable for any loss or damage arising from your use of the Online Channels, including, without limitation, any loss of data, computer virus infection, or other damage to property.
Subject to the foregoing and applicable mandatory legislation, Foxy Diamonds' liability to you for any losses arising from or in connection with a breach of these Terms of Use shall be limited to direct and foreseeable losses only. In no event shall Foxy Diamonds be liable for any indirect, incidental, special, consequential, or punitive losses, including, without limitation, loss of profits, loss of revenue, loss of business, loss of data, or business interruption, even if such losses were foreseeable.
Nothing in these Terms of Use affects your statutory rights under mandatory legislation, including any rights granted to you under Belgian or EU legislation.
Counterfeit Warning
Foxy Diamonds products are made available for purchase exclusively through Foxy Diamonds' authorized Channels, including its official website(s) at www.foxydiamonds.com and any other Online Channels expressly identified by Foxy Diamonds (collectively, the "Channels"). Any products offered, sold, or distributed outside of these Channels may be counterfeit, altered, or otherwise unauthorized.
Foxy Diamonds does not warrant the authenticity, quality, or condition of any products purchased from unauthorized sources or sellers, including, without limitation, online marketplaces, social media sellers, or other third-party resellers not expressly approved by Foxy Diamonds. Foxy Diamonds expressly disclaims any liability for products acquired from such unauthorized sources.
You are strongly advised to verify the authenticity of products prior to purchase and to exercise reasonable care to avoid counterfeit, unauthorized, or misrepresented merchandise.
Infringement Notice
Foxy Diamonds has adopted a policy providing for the termination, in appropriate circumstances, of subscribers or account holders who are determined to be repeat infringers of copyright or other intellectual property rights.
If you believe that your copyright, or the copyright of a person on whose behalf you are authorized to act, has been infringed by material available through the Online Channels, you may notify Foxy Diamonds. For contact details, please refer to the section "Contact Us".
To be effective, a notification of alleged infringement must:
- Be in writing and signed physically or electronically by a person authorized to act on behalf of the owner of the exclusive right allegedly infringed;
- Identify the copyrighted work claimed to have been infringed, or, if multiple works at a single location are covered by a single notification, provide a representative list of such works;
- Identify the material claimed to be infringing, or the subject of infringing activity, and that is to be removed or access to which is to be disabled, including sufficient information to enable Foxy Diamonds to locate the material;
- Provide information reasonably sufficient to allow Foxy Diamonds to contact the complaining party, including an address, telephone number, and, if available, an email address;
- Include a statement that the complaining party has a good faith belief that the use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
- Include a statement that the information in the notification is accurate, and, under penalty of perjury, that the complaining party is authorized to act on behalf of the copyright owner.
Foxy Diamonds reserves the right, in its sole discretion, to remove, restrict, or disable access to any material made available through the Online Channels, including any material you submit, at any time and without notice. Foxy Diamonds is under no obligation to post, transmit, forward, distribute, or otherwise make any material available on the Online Channels.
Jurisdiction and Applicable Legislation
These Terms of Use and your access to and use of the Online Channels shall be governed by, and construed in accordance with, the Belgian legislation, without regard to its conflict of law provisions. Any disputes, claims, or actions arising out of or in connection with these Terms of Use or your use of the Online Channels shall fall within the exclusive jurisdiction of the courts of Belgium.
Foxy Diamonds acknowledges that the Online Channels may be accessible worldwide; however, it makes no representation that the content is lawful or appropriate outside Belgium, and you are solely responsible for ensuring compliance with all applicable local legislation when accessing or using the Online Channels from any other jurisdiction.
Amendments, Entire Agreement, and Severability
Foxy Diamonds reserves the right, at its sole discretion, to amend, modify, add to, or remove any portion of these Terms of Use, in whole or in part, at any time, by posting the revised Terms of Use on the Online Channels. It is your responsibility to review the Terms of Use periodically. Your continued access to or use of the Online Channels following any such changes constitutes your acceptance of the revised terms. In the event that material changes are made, notice will be posted on the homepage of the Online Channels, and such revised Terms of Use shall take effect thirty (30) days after publication.
These Terms of Use, together with any policies, guidelines, or operating rules posted on the Online Channels, constitute the entire agreement and understanding between you and Foxy Diamonds with respect to the subject matter herein and supersede all prior or contemporaneous communications, proposals, or agreements, whether oral or written, relating thereto. A printed or electronic version of these Terms of Use shall be admissible in judicial or administrative proceedings to the same extent as any other business document or record originally generated and maintained in printed form.
If any provision of these Terms of Use is found to be invalid, unlawful, or unenforceable under applicable legislation, such provision shall be severed from the Terms of Use, and the remaining provisions shall continue in full force and effect.
